These are the terms on which CoreStack Technology ("we", "us") builds websites, apps and software for clients ("you"). Every project also gets a written proposal with its own scope, price and timeline. Where that proposal, or a contract we both sign, says something different from this page, the signed document wins.
What we do
We design, build, launch and support the work described in the proposal you accept. Anything outside that scope — a new feature, a change of direction — is quoted separately before we start it, and we do not bill for it unless you agree in writing (an email or WhatsApp message counts).
You give us what we need to do the work on time: content, access to accounts and servers, and decisions when they are asked for. If the project is delayed waiting on these, the timeline moves by the same amount.
Price and payment
The price in the proposal is fixed for the agreed scope. It is paid by milestone: a small advance to start, then a payment as each working piece is delivered and shown to you, as set out in the proposal. Invoices are due within 7 days unless the proposal says otherwise. Prices are in Indian rupees or US dollars as quoted; GST is added where it applies.
If a payment is overdue, we may pause work until it is made. Money paid for a milestone that has been delivered is not refundable; if either of us ends the project early, you pay for the work completed up to that point and we hand it over.
Third-party costs — domains, hosting, app store fees, paid services and licences — are yours, at the price the provider charges, and are kept in your name wherever possible.
Who owns the work
Once the project is paid for in full, you own what we built for you: the source code, the designs and your data. We hand all of it over, documented. Until then, it remains ours, and you have a licence to use what has been delivered and paid for so far.
Open-source libraries and third-party components keep their own licences, which we list for you. We keep the right to reuse our general know-how and our own pre-existing tools and code, but never your data, your content or anything confidential to your business. With your permission only, we may name you as a client and show the work in our portfolio.
Confidentiality
Anything you share with us about your business, your customers or your systems is kept confidential, used only for your project, and not disclosed to anyone except where the law requires it. This continues after the project ends. We are happy to sign a separate non-disclosure agreement before you share anything.
Fixes and support
For 30 days after launch we fix, free of charge, anything that does not work as agreed in the proposal. Ongoing support, hosting and changes after that are by a separate monthly plan or quote.
Liability
We build carefully and test what we deliver, but no software is free of defects, and we do not promise any particular business result. Our total liability to you for a project, for any claim, is limited to the amount you have paid us for that project. Neither of us is liable to the other for indirect or consequential loss, such as lost profit or lost data that could have been restored from a backup. Nothing here limits liability that cannot be limited by law.
Governing law
These terms are governed by the laws of India. Any dispute that we cannot settle by talking it through is subject to the exclusive jurisdiction of the courts at New Delhi.
